R Sampath Kumar

R Sampath Kumar is a Partner – Governance and Compliance at Trilegal and a Partner in the Compliance and Corporate Governance practice, focusing on Corporate Compliance. He has a specialisation in the area of corporate secretarial services.

Sampath has over 25 years of experience in various compliance matters under Companies Law, FEMA, SEBI, environment laws, labour laws, economic laws and other allied laws. He has also held the position of an independent professional director on the board of various companies.

His experience includes extensive interaction with regulators on various client matters, including representations on issues faced by industry at large on corporate law. He has assisted and advised companies on compliances under the Companies Act (such as related party transactions, POIT, loan and investment, CSR and dividend), SEBI Regulations and Indian Exchange Control Regulations.

He advised on the V3 Project of the Ministry of Corporate Affairs (MCA 21), leading the domain knowledge support in designing the MCA 21 V3 framework, suggesting recommendations and working with the IT service provider in implementing the suggestions adopted by MCA. He has also advised multiple clients on board processes and directors’ responsibilities during shareholder disputes, including changes in management.

Sampath has experience advising and assisting companies on consolidating and integrating their Indian operations through mergers, takeovers and acquisitions, or winding up of operations, and has worked with clients across sectors including manufacturing, service companies, health care providers, telecom companies and major financial institutions. He has managed boards of companies comprising senior industrialists, entrepreneurs, professionals and joint venture partners.

He studied at Seshadripuram Law College and is an Advocate with the Bar Council of India and an Associate Company Secretary with The Institute of Company Secretaries of India.
