Ashima Dewan

Ashima Dewan is a Partner in the Mumbai office of Phoenix Legal. Her primary practice area is Mergers and Acquisitions, and her areas of practice include private equity and venture capital investments, mergers and acquisitions, and general corporate advisory including company law, SEBI and foreign exchange-related advisory.

She has been advising domestic and multinational companies, venture capital funds and start-ups in diverse sectors ranging from fintech, ed-tech, agritech, SaaS, e-commerce (B2C and B2B), manufacturing, insurance, real estate, media and telecommunications, sports, and food and beverages.

Her recent experience includes advising Elevation Capital on its investments in various tech-based start-ups across seed, early-stage and growth-stage funding rounds; advising Lightspeed Ventures on its investments in various tech-based start-ups across seed, early-stage and growth-stage funding rounds; and advising Z47 (formerly Matrix Partners) on its investments in various B2B, B2C, SaaS and other tech-based start-ups across seed, early-stage and growth-stage funding rounds, and exits from various investee companies.

She has also advised Iron Pillar Fund on its investments in and exits from multiple investee entities; advised Peak XV Partners (formerly Sequoia Capital) on its investment in and exit from a healthcare technology investee company; advised Z47 (formerly Matrix Partners) and Nexus Ventures on their investment in multiple funding rounds in an AI SaaS cloud startup; and advised Elevation Capital, Lightspeed Ventures and Nexus Ventures on their investment in multiple funding rounds in Maestroedge Solutions Private Limited (Snabbit), a quick service app providing on-demand home services.

Other matters include advising Stride Fintree on its funding round led by Elevar Equity; advising Surge Ventures III, a rapid scale-up programme by Peak XV Partners (formerly Sequoia India), on its investment in a SaaS start-up helping e-commerce brands market and sell products through chat-based applications such as WhatsApp and Facebook Messenger; advising Truescale Capital on its investment in a B2B FMCG wholesale startup; and advising Fundalogical Ventures on its investment in Indicold Private Limited, an innovative player in the cold chain solutions space.

She has also advised Z47 (formerly Matrix Partners), Kalaari Capital and Bharat Innovation Fund on their exit from a company providing technology and analytical solutions for prospecting, credit underwriting, risk management, customer management, delinquency management and customer verification services, by way of 100% acquisition by a fintech company; advised Exploring Infinities Edtech Private Limited (Bhanzu) on multiple equity financing transactions including Series A and Series B funding rounds; and advised MonotaRO Co. Ltd., Japan's largest industrial products e-commerce supplier, on acquiring majority shareholding in a company running and operating a B2B e-commerce business.

She has also advised Nippon Paint India on its acquisition of various small businesses by way of share acquisition and business transfer; advised Sehgal Path Labs and its shareholders on fund raise and sale of a partial stake to Neuberg Diagnostics; advised a Fortune 500 company in relation to a strategic investment by a Japanese multinational for acquisition of control to become a joint promoter along with existing promoters; and advised entities engaged in the business of acting as third-party administrators, and their shareholders, on the sale of the entire shareholding of these entities to an entity engaged in similar business activities.

Other matters include advising a Singapore-based technology solutions company (which owns a digital lending venture in India) and its founder on its Series B investment; advising a Dubai-based incubator accelerator to acquire a stake in an Indian company engaged in the oil and gas industry; advising an Indian media and entertainment company to set up a joint venture in Dubai for running and operating a cricket team in the Masters Champions League, Dubai; advising an Indian media and entertainment company to set up a joint venture in Dubai for running and operating a bike racing team; advising an Indian food and beverage company to set up a joint venture in the United Kingdom for running and operating restaurants; and advising a listed engineering company on acquiring a majority stake in an electric vehicle manufacturing company.
