Yatin Narang

Yatin Narang is a Partner at Vaish Associates Advocates’ Mumbai office, focusing on Mergers and Acquisitions. He has been associated with the firm since 2008 and has a total experience of about 16 years.

He specialises in mergers & acquisitions, restructuring of business, asset & share purchase deals, takeovers, intellectual property, joint ventures and strategic alliances, structuring of complex investments, private equity, and general corporate advisory.

He advises clients in relation to investment funds, and is involved in structuring funds, drafting fund documentation and representing funds before regulators in India for seeking registrations. He acts for these funds as well as other domestic and international funds making private equity investments across various sectors in India.

He also has wide experience advising clients on negotiating domestic and international outsourcing agreements; counselling on preserving rights in technology; technology licensing agreements, software development and distribution; internet legal issues for users, owners and service providers; telecom, e-commerce and mobile commerce ventures; regulatory issues related to foreign investment; royalty payments and repatriations; investment, acquisitions and divestments; and private placements. He has also advised various start-up and emerging growth businesses on matters ranging from formation to exit, including corporate structuring, venture capital financing, employment, equity compensation and intellectual property.

He specialises in data privacy laws and has advised various clients on data protection, including the applicability of data privacy laws to agreements such as data processing agreements, SaaS agreements and privacy notices, as well as in employment matters in India. He has advised companies on formulating data privacy policies and on setting up a Data Breach Reporting Hotline, and has advised both domestic and international clients on the applicability and consequences of Indian data protection laws and GDPR.

He has been a speaker and panellist at conferences and seminars organised by universities, business associations and other bodies on foreign direct investment, M&A, data protection laws and other topical issues. He has co-authored an article titled “General Data Protection Regulation – Do the Indian Companies realise its implications,” published in Corporate Law Adviser, and is a contributor to the “Investing Across Borders Project,” a World Bank Group Report providing objective measures of foreign direct investment regulation and its implementation with respect to India.
